1. Acceptance of Terms

By creating an account or accessing services, you acknowledge agreement to these Terms of Service and the Privacy Policy. Non-agreement means no service access.

2. Description of Service

Holistically Simple operates as a Private Membership Association offering unified CRM, marketing automation, website builder tools, the SCALE Framework (Systemize, Curriculum, Automate, Leverage, Elevate), private community access, educational resources, and tiered support services.

3. Membership Tiers & Billing

3.1 Platforms & Offerings

Software Platforms ("Run It"):

• AcadevoFit (Studio): $497 one-time or $149/month
• Acadevo Martial Arts Pro (Academy): from $97/location/month
• Power Portal (Clinic): Enterprise HIPAA-compliant license

Consulting Partnerships ("Scale It"):

• PMA Membership: $97/month
• Foundation Operator: $497/month
• Accelerator Cohort: $1,297/month (application required)
• Inner Circle: $3,497/month (application and interview required)

3.2 Billing Terms

Monthly recurring billing occurs unless specified otherwise. Members authorize charges at each cycle start. Major credit cards and ACH transfers (Enterprise only) accepted. Auto-renewal continues unless canceled 24 hours before next billing date. Failed payments trigger up to 3 retry attempts; access suspends after failures. Pricing modifications require 30-day advance notice.

3.3 Refund Policy

7-Day Money-Back Guarantee: New members may request a full refund within the first 7 days. After 7 days and for renewals, charges remain non-refundable.

3.4 Cancellation

Cancel through dashboard or by contacting support@holisticallysimple.com. Termination takes effect at billing period end. Access continues through that date. Unused time receives no partial refunds.

4. Account Responsibilities

4.1 Account Security

Members maintain credential confidentiality, are responsible for all account activity, and must report unauthorized access immediately.

4.2 Eligibility

Users must be at least 18, operate legitimate businesses, provide accurate registration information, and comply with applicable laws.

4.3 Prohibited Uses

Members cannot share credentials, engage in illegal activities, distribute spam or malware, scrape member data, reverse engineer source code, resell services without authorization, impersonate others, or interfere with platform functioning.

5. Intellectual Property Rights

5.1 Our Intellectual Property

All platform content, frameworks, software, designs, logos, and trademarks belong to Holistically Simple or licensors. Reproduction, public display, trademark use, or ownership claims are prohibited without written permission.

5.2 Limited License

Members receive a non-exclusive, non-transferable, revocable license to access and use the platform solely for personal business purposes during active membership. This license terminates immediately upon cancellation.

5.3 Your Content

Members retain ownership of uploaded content and data. By uploading, they grant Holistically Simple a limited license to host, store, process, and display content. Members warrant ownership and non-violation of third-party rights.

6. Community Guidelines

Community members must be respectful, authentic, collaborative, responsible, and protective of privacy. Violations may result in warnings, suspension, or permanent removal from the community without refund.

7. Data & Privacy

The Privacy Policy governs data handling. Holistically Simple collects only necessary data, doesn't sell customer data, uses industry-standard security, and allows data export or deletion requests (subject to legal retention requirements).

8. Third-Party Integrations

Third-party service use follows their respective terms. Holistically Simple isn't responsible for third-party availability, functionality, security, breaches, or terms changes.

9. Disclaimers & Limitations of Liability

9.1 No Guarantees

While we provide strategic frameworks, tools, and community support, we make NO GUARANTEES regarding specific business outcomes, revenue increases, or results. Success depends on member effort, market conditions, and execution. Testimonials represent individual experiences.

9.2 "As-Is" Service

Services are provided "AS IS" and "AS AVAILABLE" without warranties regarding merchantability, fitness, non-infringement, uninterrupted operation, or content accuracy.

9.3 Limitation of Liability

Holistically Simple isn't liable for indirect, incidental, consequential, or punitive damages; profit or data loss; service interruptions; third-party actions; or decisions based on platform information. Maximum liability equals amounts paid in preceding 12 months.

10. Indemnification

Members indemnify Holistically Simple from claims arising from their platform use, Terms violations, third-party rights violations, uploaded content, or business activities conducted through the platform.

11. Termination

11.1 Termination by You

Members can cancel anytime through the dashboard or support contact, effective at billing period end.

11.2 Termination by Us

Holistically Simple may immediately suspend or terminate accounts for Terms violations, fraudulent activities, repeated payment failures, abuse toward staff or members, or legal requirements—without notice or refund.

11.3 Effect of Termination

Termination revokes platform and community access, terminates resource availability, requires cessation of Holistically Simple material use, and results in data retention per privacy policy. No refunds apply for unused time (except Section 3.3).

12. Dispute Resolution

12.1 Informal Resolution

Parties must attempt informal resolution by contacting support@holisticallysimple.com before filing legal claims.

12.2 Binding Arbitration

Disputes are resolved through binding arbitration by a neutral arbitrator following American Arbitration Association rules, except where prohibited.

12.3 Class Action Waiver

Members waive class action and class-wide arbitration rights, agreeing to individual dispute resolution only.

12.4 Governing Law

Terms are governed by Commonwealth of Virginia law without conflict-of-law regard.

13. Changes to Terms

Holistically Simple reserves modification rights. The "Last Updated" date updates with changes. Material changes trigger email or platform notifications. Continued service use after changes constitutes acceptance. Disagreement requires cancellation before changes take effect.

14. Miscellaneous

14.1 Entire Agreement

These Terms, Privacy Policy, and Membership Agreement comprise the entire agreement between parties.

14.2 Severability

Invalid provisions don't affect remaining Terms enforceability.

14.3 Waiver

Non-enforcement of any right doesn't constitute waiver.

14.4 Assignment

Members cannot assign memberships without written consent. Holistically Simple may assign without restriction.

14.5 Force Majeure

Holistically Simple isn't liable for performance failures due to uncontrollable circumstances including natural disasters, war, pandemics, or government actions.
